CONDOMINIUM OFFERING PLANS

Provides counsel to clients in all phases of the development process, from acquisition and construction through contract drafting and closing, and guides clients through the complex registration requirements of the New York State Department of Law. The group has represented developers in projects including complex condominium and leasehold regimes that accommodate mixed-use occupancy components such as community facilities.

Contracts and Closings

The Firm “gets stuff done.” The Firm handles all aspects of the sales and closing process for the Firm’s New York-based condominium and cooperative clients. The contract and closing team ensures that all contracts are negotiated expeditiously and all closings are closed as efficiently as possible. In coordination with each client and the client’s sales and marketing team, the group prepares, distributes and negotiates contracts of sale, acts as escrow agent for purchaser deposits, maintains an extensive database and calendar, and provides notices to purchasers for additional deposits, closings and defaults and the pay down of underlying construction, project, acquisition and mezzanine loans. The group prepares closing statements for pre-approval by clients and construction lenders and handles all aspects of closings of residential and commercial units.

Real Estate Practice

Represents clients in the sale, acquisition and leasing of commercial and residential properties, including single-family homes, professional offices, condominium units and cooperative apartments. Provides a full spectrum of legal services in real estate transactions including acquisitions, sales, mortgage financing, 1031 tax-deferred exchanges, leasing, purchases and sales of 421-a negotiable certificates, entity formation and operating/partnership agreements. We have worked extensively with governmental and quasi-governmental agencies, including the New York City Department of Housing Preservation and Development (HPD), New York City Housing Development Corporation (HDC), New York City Partnership Housing Development Fund Company, Inc., and New York City Housing Authority (NYCHA), on the acquisition and development of dozens of affordable housing projects.

REAL ESTATE SALES, ACQUISITIONS AND LEASING

In addition to our condominium offering plan practice, the Firm handles a broad range of sophisticated and complex real estate transactions, leveraging our extensive skills and experience in virtually all types of real estate and development matters, including acquisitions and dispositions, and leasing. We represent the developers/owners and lenders in all aspects of their real estate transactions, guiding and advising our clients through all phases of a particular transaction.

REAL ESTATE FINANCING

Our real estate team closes many diverse real estate finance transactions each year representing developers, lenders, corporations and individuals. We structure, negotiate, document and close a wide spectrum of real estate financing transactions in the New York area and nationwide, from office buildings and shopping centers to mixed use developments.

Our firm represent owners, developers and lenders in financing projects from initial development and construction through obtaining a line of credit or refinancing for long-term ownership.

Cooperative and Condominium Board Law

Provides legal representation to the boards of numerous condominium and cooperative associations. As an active condominium and cooperative law firm, the group counsels boards, managing agents and owners of unsold shares and blocks of condominium units in all aspects of condominium and cooperative law. Services include:

  • dispute resolution,


  • interpreting by-laws,


  • proprietary leases and condominium declarations,


  • redrafting outdated corporate documents to bring them into compliance with current law and the realities of modern-day living.

The group assists cooperatives in refinancing underlying building loans, mediates, and where necessary, litigates with lenders and defaulting sponsors.
